Welcome to Vertris (“we,” “our,” “us”). These Terms of Use (“Terms”) govern your access to and use of our website, vertris.io, and related services (collectively, the “Service”).

By using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. Eligibility

You may use the Service only if you:

Are at least 18 years old (or the age of majority in your jurisdiction).
Have the legal capacity to enter into a binding agreement.
Use the Service in compliance with applicable laws and regulations.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Description of the Service

Vertris provides tools to help organizations:

Organize and store compliance-related information (e.g., policies, software and license lists, security details).
Create a shareable dashboard for partners, investors, and other stakeholders.
Generate compliance-ready reports based on provided data.

We do not guarantee that use of the Service alone will make you compliant with any law, regulation, or standard (e.g., SOC 2, ISO 27001, HIPAA).

3. Account Registration and Security

To access most features, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the security of your login credentials.
Notify us immediately of any unauthorized use of your account.

You are responsible for all activity that occurs under your account.

4. User Content

A. Ownership

You retain all rights to the data, documents, and other materials you upload or submit (“User Content”).

B. License to Vertris

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display that content solely to provide the Service.

C. Responsibility for User Content

You are solely responsible for your User Content, including ensuring that:

You have all necessary rights and permissions to upload it.
It does not violate any laws, regulations, or third-party rights.

We may remove any User Content that we believe violates these Terms.

5. Sharing and Access Control

The Service may allow you to share parts of your compliance dashboard or reports with third parties (e.g., partners, investors). You are solely responsible for managing and revoking access. Vertris is not responsible for any third-party use of content you share.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose.
Upload malicious code or attempt to disrupt the Service.
Attempt to gain unauthorized access to other users’ accounts or data.
Reverse-engineer or attempt to copy the Service’s code or functionality.

7. Subscription, Fees, and Payment

Some features require a paid subscription.

Prices and payment terms will be specified at checkout.
All fees are non-refundable unless required by law.
We may change prices with at least 30 days’ notice to active subscribers.

8. Service Availability and Changes

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time without liability.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
We specifically disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not provide legal, compliance, or security certification services. Any compliance decisions or certifications remain your sole responsibility.

10. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, special, consequential, or punitive damages.
Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months prior to the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Vertris, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms. You may also close your account at any time. Upon termination, your right to use the Service ends immediately, but certain provisions (e.g., liability limitations) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
Any disputes will be resolved exclusively in the provincial or federal courts located in Toronto, Ontario.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or prominent notice on our site before they take effect.
